FAMILIARIZATION PROGRAMME FOR INDEPENDENT DIRECTORS

1. Objectives

The Companies Act, 2013 (“the Act”) read with Regulation 25(7) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, places increased responsibilities on Independent Directors of the Company. In order to enable the Independent Directors to fulfill their responsibilities efficiently and effectively, a Familiarization Programme (“the programme”) has been put in place by the JET KNITWEARS LIMITED (“JKL” or “the Company”) to assist them understand details about the Company, their roles, rights, responsibilities in the Company, nature of the industry in which the Company operates, business model of the Company etc.

2. Familiarization Process

2.1. The Company shall, on the basis of need, conduct orientation programs / presentations to familiarize the Independent Directors with the strategy, operations and functions of the Company.

2.2. The programs / presentations shall also familiarize the Independent Directors with their roles, rights and responsibilities.

2.3. The Company may conduct an orientation programme / presentation, when a new Independent Director comes on the Board of the Company, on the discretion of the Director.

3. Review of the Program

The Company may review this Program and make suitable revisions, as may be deemed necessary, from time to time.
